Terms of Use

These Terms of Use ("Terms") constitute a legally binding agreement between you and Vidopt ("we," "us," or "our") governing your access to and use of the CircleMap mobile application and related services (collectively, the "Service"). By downloading, installing, or using CircleMap, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that you are at least 13 years of age (or the minimum age required in your jurisdiction) and have the legal capacity to enter into these Terms. If you are using the Service on behalf of a minor, you represent that you are the parent or legal guardian and accept these Terms on their behalf.

Your continued use of the Service following any updates to these Terms constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.

2. Description of Service

CircleMap is a family location-sharing application that enables trusted groups ("Circles") to stay connected. The Service includes, but is not limited to, the following features:

• Real-time location sharing — view the live locations of your Circle members on an interactive map.
• Circles — create and join private groups with family members and trusted contacts.
• In-app messaging — send text messages to your Circle members.
• Voice calls — make peer-to-peer voice calls to Circle members within the app.
• Emergency SOS — send an emergency alert with your live location to your Circle members and designated emergency contacts.
• Geofences — create geographic boundaries and receive notifications when Circle members arrive at or depart from designated areas.
• Driving reports — view driving behavior summaries including speed, distance, and route information for Circle members.
• Location history — review past locations of Circle members over a configurable time period.
• Share links — generate temporary links to share your location with anyone, even outside your Circles.

Features may vary between the free and Pro subscription tiers and may be modified, suspended, or discontinued at any time without prior notice.

3. Account Registration

To use CircleMap, you must create an account using a valid phone number. By registering, you agree to the following:

• One account per person — each phone number may only be associated with a single CircleMap account. Creating multiple accounts is prohibited.
• Accurate information — you agree to provide accurate and current information during registration and to keep your account information up to date.
• Account security — you are responsible for maintaining the security of your account and for all activities that occur under your account. Notify us immediately if you suspect unauthorized access.
• Phone verification — we verify your phone number via SMS during registration. Standard messaging rates from your carrier may apply.

4. Subscriptions and Payments

CircleMap offers both a free tier and a Pro subscription tier with additional features:

• Free tier — provides access to core location-sharing features with limited history retention and functionality.
• Pro tier — unlocks extended location history, advanced safety features, and other premium capabilities.

Pro subscriptions are available as auto-renewable subscriptions purchased through the Apple App Store or Google Play Store. By subscribing, you agree to the following:

• Billing — payment is charged to your App Store or Google Play account at confirmation of purchase. Subscriptions automatically renew at the end of each billing period unless canceled at least 24 hours before the renewal date.
• Cancellation — you may cancel your subscription at any time through your device's App Store or Google Play subscription settings. Cancellation takes effect at the end of the current billing period; no partial refunds are issued for unused time.
• Price changes — we reserve the right to modify subscription pricing at any time. Price changes will not affect your current billing period and will take effect upon renewal. You will be notified of any price changes in advance as required by the applicable app store policies.
• Free trials — if offered, free trial eligibility is determined by the App Store or Google Play. If you do not cancel before the trial ends, your subscription will automatically begin and you will be charged.

All payments are processed by Apple or Google. We do not collect, store, or have access to your payment card information.

5. User Conduct

You agree to use CircleMap responsibly and in accordance with all applicable laws. The following conduct is strictly prohibited:

• Stalking or harassment — using the Service to stalk, monitor, harass, threaten, or intimidate any person.
• Non-consensual tracking — sharing or viewing another person's location without their knowledge and informed consent. All Circle members must voluntarily join and can leave at any time.
• Misrepresentation — creating accounts with false identities, impersonating another person, or using someone else's phone number.
• Abuse of safety features — sending false Emergency SOS alerts, creating geofences to control or coerce others, or misusing driving reports for intimidation.
• Harmful content — sending messages that contain threats, hate speech, explicit content, spam, or content that exploits minors.
• Reverse engineering — decompiling, disassembling, reverse engineering, or attempting to extract the source code of the Service.
• Automated access — using bots, scrapers, or other automated means to access or interact with the Service.
• Interference — attempting to disrupt, overload, or impair the Service's infrastructure, security, or other users' access.

We reserve the right to investigate and take appropriate action against anyone who violates these rules, including account suspension or termination and reporting to law enforcement.

6. Privacy and Location Data

Your privacy is important to us. Our collection, use, and sharing of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Key points regarding location data:

• Consent-based sharing — your location is shared only with members of Circles you have voluntarily joined. You control which Circles can see your location and can disable sharing at any time.
• No third-party selling — we do not sell, rent, or trade your location data to third parties. We do not use your data for advertising.
• Data minimization — we collect only the data necessary to provide the Service. Location history is automatically deleted after the applicable retention period.
• Your controls — you can switch to approximate location mode, pause location sharing per Circle, or revoke location permissions entirely through your device settings.

7. Intellectual Property

The Service, including all software, design, text, graphics, logos, icons, and other content, is the property of Vidopt and is protected by copyright, trademark, and other intellectual property laws.

• Our rights — we retain all right, title, and interest in and to the Service. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes in accordance with these Terms.
• Your rights — you retain all rights to the data you provide through the Service, including your messages, profile information, and location data. By using the Service, you grant us a limited license to process this data solely to provide and improve the Service.
• Feedback — if you provide feedback or suggestions about the Service, we may use them without obligation or compensation to you.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free.
• Location data will be accurate, complete, or reliable at all times.
• The Service will meet your specific requirements or expectations.
• Any defects in the Service will be corrected.

Location accuracy depends on many factors including your device hardware, GPS signal, network connectivity, and environmental conditions. You should not rely solely on CircleMap for safety-critical decisions. The Emergency SOS feature is not a substitute for calling 911 or your local emergency services.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VIDOPT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OR ALL OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

10. Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that we determine, in our sole discretion, violates these Terms, is harmful to other users, or is otherwise objectionable. Grounds for termination include but are not limited to:

• Violation of any provision of these Terms.
• Use of the Service for illegal purposes, including stalking or harassment.
• Abuse or misuse of safety features.
• Fraudulent activity or misrepresentation.
• Extended period of inactivity (accounts inactive for more than 12 months may be deleted).

You may delete your account at any time through the app (Profile > Delete Account) or by visiting circlemap.io/delete.html. Upon account deletion, all your personal data will be permanently removed from our servers in accordance with our Privacy Policy.

11. Changes to Terms

We may revise these Terms at any time by posting the updated version on this page with a new "Last updated" date. For material changes, we will make reasonable efforts to notify you through the app or via other means.

Your continued use of the Service after revised Terms take effect constitutes your acceptance of the changes. If you do not agree with the revised Terms, you must stop using the Service and delete your account.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms shall remain in full force and effect.
